The Company has adopted the “Organizational Procedure on the Management and Disclosure of Inside Information” and the “Internal Dealing” procedure, both approved by the Board of Directors of LKQ Italia Bondco S.p.A. (now LKQ Italia Bondco di LKQ Italia Bondco GP S.r.l. e C S.a.p.A.) on 26th of October 2016, in order to comply with the Market Abuse provisions introduced by Regulation (EU) No. 596/2014 of the European Parliament and of the Council of April 16, 2014 and its implementing regulations, and the amendments to the ExtraMOt Market Regulations published by Borsa Italiana S.p.A. as amended and supplemented.
In particular:
- “Organizational Procedure on the Management and Disclosure of Inside Information” procedure governs the management and processing of Inside Information (as defined within the document) and the establishment and maintenance of the Insider Register by the Company;
- “Internal Dealing” procedure governs the disclosure requirements regarding transactions on the financial instruments of the Company admitted to trading on the ExtraMOT multilateral bond trading system organized and managed by Borsa Italia S.p.A.
